Energy Resources, an indirect wholly-owned subsidiary of Mongolian Mining Corporation, entered into the following agreements on May 23.

(i) An office and camp supporting service agreement  whereby Uniservices Solution will provide services  for a period of 4 months for a total consideration of approximately USD4,905,256; and

(ii) a purchase of fuel agreement whereby Gobi Oil will supply fuel products to the Group from May 23 to July 15 for a total consideration of USD9,500,000.

Uniservices Solution is a wholly-owned subsidiary of MCS Holding LLC, and Gobi Oil is an associate of each of Petrovis Resources Inc., a substantial shareholder of the company, Mr. P. Batsaikhan and Dr. J. Oyungerel, both a non-executive Director.
